Welcome to WYXR 91.7 FM. These Terms and Conditions (“Terms”) govern your access to and use of the WYXR website, mobile applications, streaming services, text messaging services, and all related services (collectively, the “Services”). The Services are operated by Crosstown Radio Partnership, Inc. d.b.a. WYXR (“WYXR,” “we,” “us,” or “our”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Acceptance of Terms
By accessing, browsing, or using the WYXR website (wyxr.org) or any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. We reserve the right to modify these Terms at any time. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
2. Description of Services
WYXR is a nonprofit community-driven freeform radio station based in Memphis, Tennessee. Our Services include:
- Live radio broadcasting and streaming
- On-demand access to show archives (available for the most recent 2 weeks)
- SMS text messaging services for communication with DJs and listeners
- Website content including schedules, playlists, news, and community information
- Contests, promotions, and giveaways
- Email newsletters and communications
3. Intellectual Property Rights
3.1 WYXR Content
All content on the WYXR website and Services, including but not limited to text, graphics, logos, images, audio clips, show recordings, and software, is the property of WYXR or its content suppliers and is protected by United States and international copyright laws. The compilation of all content on the Services is the exclusive property of WYXR.
3.2 Music Licensing
WYXR operates under licenses from ASCAP, BMI, and SESAC for the broadcast and streaming of musical works. All music broadcast on WYXR is used in accordance with applicable copyright laws and licensing agreements.
3.3 Trademarks
WYXR, WYXR 91.7 FM, and all related logos and identifying marks are trademarks of Crosstown Radio Partnership, Inc. You may not use these marks without our prior written permission.
3.4 User-Generated Content
When you submit content to WYXR (including but not limited to text messages, photos, videos, audio recordings, stories, or other materials), you grant WYXR a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media format, including on-air broadcasts, our website, social media platforms, and promotional materials.
You represent and warrant that:
- You own or have the necessary rights to the content you submit
- Your content does not violate any third-party rights, including copyright, trademark, privacy, or other personal or proprietary rights
- Your content does not contain libelous, defamatory, or otherwise unlawful material
4. User Conduct and Prohibited Activities
You agree not to use the Services to:
- Violate any local, state, national, or international law
- Harass, threaten, intimidate, or harm others
- Post or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, vulgar, obscene, or otherwise objectionable
- Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
- Transmit any material that contains viruses, trojan horses, worms, or any other malicious code
- Interfere with or disrupt the Services or servers or networks connected to the Services
- Collect or store personal data about other users without their consent
- Use automated systems (bots, scrapers, etc.) to access the Services
- Attempt to gain unauthorized access to any portion of the Services
- Reproduce, duplicate, copy, sell, or exploit any portion of the Services for commercial purposes without our express written consent
WYXR reserves the right to remove any content and terminate or suspend access to the Services for any user who violates these Terms, at our sole discretion and without prior notice.
5. SMS Text Messaging Terms
5.1 Program Description
WYXR’s SMS program allows listeners to send text messages directly to on-air DJs and receive responses from DJs and station staff. By texting WYXR’s number, you consent to receive text messages from WYXR, including responses from DJs, station updates, and occasional promotional messages.
5.2 Consent and Opt-In
By sending a text message to WYXR’s phone number, you expressly consent to receive SMS text messages from WYXR. Message frequency varies. This consent is not a condition of purchase or service.
5.3 Opt-Out
You may opt out of receiving text messages at any time by replying “STOP” to any message from WYXR. After opting out, you will receive one final confirmation message. To resume receiving messages, text “START” or send another message to WYXR’s number.
5.4 Message and Data Rates
Standard message and data rates may apply based on your mobile service plan. Please contact your wireless carrier for details about your plan.
5.5 Supported Carriers
The SMS service is available on most major U.S. mobile carriers. If you experience any issues, please contact us at issues@wyxr.org.
5.6 Privacy
We do not share your phone number with third parties for marketing purposes. For more information, please review our Privacy Policy.

6. Contests and Promotions
6.1 General Terms
From time to time, WYXR may conduct contests, sweepstakes, and other promotions (collectively, “Promotions”). Each Promotion may have additional specific rules, which will be posted or announced at the time of the Promotion. By participating in any Promotion, you agree to be bound by these Terms and any additional rules.
6.2 Eligibility
Unless otherwise specified, Promotions are open only to legal residents of the United States who are 18 years of age or older at the time of entry. Employees, officers, directors, and agents of WYXR and their immediate family members are not eligible to participate.
6.3 Entry and Prizes
Entry methods, prize details, and winner selection procedures will be specified for each Promotion. Prizes are non-transferable and may not be substituted or exchanged for cash, except at WYXR’s sole discretion. Winners may be required to sign an affidavit of eligibility and liability/publicity release.
6.4 FCC Compliance
All contests and promotions are conducted in compliance with Federal Communications Commission (FCC) regulations. WYXR reserves the right to disqualify any participant who violates contest rules or engages in fraudulent or inappropriate conduct.
7. Streaming and Broadcasting Terms
7.1 Personal Use Only
Our streaming services and archived shows are provided for your personal, non-commercial use only. You may not record, reproduce, redistribute, or create derivative works from any broadcast or stream without our express written permission.
7.2 Show Archives
Archived shows are available for on-demand listening and download for personal use only. Archives are available for the most recent 2 weeks following the original broadcast date. WYXR reserves the right to remove any archived content at any time.
7.3 Stream Quality and Availability
We strive to provide high-quality, uninterrupted streaming, but we do not guarantee continuous, error-free service. Stream quality may vary based on your internet connection and device. WYXR is not responsible for interruptions or technical issues beyond our control.
7.4 Geographic Restrictions
Currently, there are no geographic restrictions on our streaming services. However, we reserve the right to implement geographic limitations in the future if required by licensing agreements or legal requirements.
8. Privacy and Data Collection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the practices described in the Privacy Policy.
We collect information when you:
- Visit our website (including through cookies and similar technologies)
- Sign up for our email newsletter
- Send SMS text messages to WYXR
- Participate in contests or promotions
- Submit content or communicate with us

10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WYXR DOES NOT WARRANT THAT:
- The Services will be uninterrupted, timely, secure, or error-free
- The results obtained from the use of the Services will be accurate or reliable
- Any errors in the Services will be corrected
- The Services will meet your requirements or expectations
Any material downloaded or otherwise obtained through the use of the Services is accessed at your own discretion and risk, and you will be solely responsible for any damage to your device or loss of data that results from such activity.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WYXR, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of or inability to access or use the Services
- Any conduct or content of any third party on the Services
- Any content obtained from the Services
- Unauthorized access, use, or alteration of your transmissions or content
IN NO EVENT SHALL WYXR’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED ONE HUNDRED DOLLARS ($100).
12. Indemnification
You agree to defend, indemnify, and hold harmless WYXR, its parent company, officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:
- Your use of and access to the Services
- Your violation of any term of these Terms
- Your violation of any third-party right, including without limitation any copyright, trademark, trade secret, or other property or privacy right
- Any claim that your content caused damage to a third party
13. FCC Compliance and Broadcasting Regulations
WYXR operates under license from the Federal Communications Commission (FCC). We comply with all applicable FCC rules and regulations governing broadcast stations, including but not limited to:
- Equal employment opportunity requirements
- Contest and promotion rules
- Sponsorship identification requirements
- Public file requirements

14. Copyright Infringement and DMCA Notices
WYXR respects the intellectual property rights of others and expects users to do the same. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible through our Services, please notify us by providing our Copyright Agent with the following information:
- An electronic or physical signature of the person authorized to act on behalf of the copyright owner
- A description of the copyrighted work that you claim has been infringed
- A description of where the material you claim is infringing is located on our Services
- Your address, telephone number, and email address
- A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
- A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf

15. Modifications to Services and Terms
WYXR reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We also reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website with a new effective date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
16. Termination
We may terminate or suspend your access to all or part of the Services, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the Services will immediately cease.
All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.
17.2 Venue
Any legal action or proceeding arising out of or relating to these Terms or the Services shall be instituted exclusively in the state or federal courts located in Shelby County, Tennessee. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
17.3 Limitation on Time to File Claims
Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the claim or cause of action arises, or such claim or cause of action shall be permanently barred.
18. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
19. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms or rules posted on the Services, constitute the entire agreement between you and WYXR regarding the use of the Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
20. Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and WYXR’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
